Main Focus Area: The SP in the "Legal" category will have the capabilities to work on identifying legal risks, legal services, protect shareholder interests. Provide proactive, timely, cost-effective and professional legal services and operational legal advice and solutions on all legal matters. Protect shareholder interests within the control framework. Update of existing contractual Terms & Conditions related to post award contract of organization contracting & procurement manual. Ensure compliance by client in the conduct of its affairs with the laws of Oman and with generally accepted and applicable rules, regulations and standards of the local commercial, environmental, technical regulation of various industries. Facilitate legal and contractual settlements and claims in a fair manner. Provide general and specific advice on concession and other joint operating matters. Manage private legal practices counsels in all matters and proceedings handed over to them (court, arbitrations or disputes) on behalf of the client. Representing the client before competent authorities in relation to the client’s activities such as corporate, commercial, insurance, dispute resolution, employment, environmental, financing, immigration, property and tax. Review or; and draft of any internal policy, code, procedures, process, guideline as requested by the client. Represent client in negotiations and formal meetings of any transaction or deals whether with others business or government bodies or potential contractor. Provide general and specific advice on partnership and other joint venture matters.

Professional Experience: Offering Legal consultancy services at the following sectors;

(15) years in energy sector (Daleel Petroleum LLC (Daleel), Shell International BVI and PDO) as a legal counsel / Head of legal (General Counsel); (+2) years in Mazoon Electricity Company SAOC (MZECO) as a Legal Officer and Board of Director’s Secretary; 3) years in Supreme Court as a legal Researcher. This includes but not limited to the following tasks;

  • Identifying legal risks and considering alternative structures and strategies to accurately reflect commercial decisions, Legal Services further business objectives and protect shareholder interests;
  • providing proactive, timely, cost-effective and professional legal services, and clear and practical strategic and operational legal advice and solutions to the business and management on all legal matters to meet business objectives and, at the same time, protect shareholder interests within the control framework;
  • Facilitate legal and contractual settlements and claims in a fair manner safeguarding client interest and maintain business and commercial relation;
  • Provide general and specific advice on concession and other joint operating matters;
  • Manage private legal practices counsels in all matters and proceedings handed over to them (court, arbitrations or disputes) on behalf of the client;
  • Advise on interpretation of the various contracts to which the client is party to as and when required;
  • Representing the client before competent authorities in relation to the client’s activities such as corporate, commercial, insurance, dispute resolution, employment, environmental, financing, immigration, property and tax, etc. Such legal Services/advice to include matters under foreign laws and regulations where such matter is within the competencies of the lawyer or any of clients branch offices;
  • Provide legal advice to client on all areas of law and regulations including but not limited to labour, tax, intellectual property, oil and gas, company laws, commercial transection regulations, environment, health and safety laws, etc.;
  • Review or; and draft of any internal policy, code, procedures, process, guideline as requested by the client;
  • Represent client in negotiations and formal meetings of any transaction or deals whether with others business or government bodies or potential contractor; and
  • Provide general and specific advice on partnership and other joint venture matters.

Prerequisites

  • Clients are requested to check and verify the SP's profile prior to the selection of SP and ensure it meets their requirements.
  • The selected SP's contact details will be sent to the client via email once registration/booking fees is paid.
  • The introduction (max. 1 hour) is free of charge for all clients and does not bind to hire the SP.
  • A contract/agreement between the two parties shall be generated immediately and signed by both parties after the work assignment has been agreed during the introduction.
  • For every genuine and agreed work assignment, TAF will charge a fee of double the hourly rate stipulated in the SP Registration Form, shared 50% between the SP and the client.
  • The SP will invoice directly the client according to the contract/agreement terms and conditions. No fees or a turnover commission is paid to TAF.
  • The hourly rate of the SP is as indicated in the application. Other expenses, if any, have to be agreed during the introduction.
  • Clients must commit to having an actual project/work assignment and TAF must be informed if additional SP is required for the same project.
